Abstract The Article describes that it is not evident that a corporate anti climate change policy is in the best interest of the company and its shareholders. Therefore it cannot be excluded that shareholders would take action against directors who intend to spend much of the profit on limiting GHG emissions (exceeding possible statutory thresholds). The focus of this Article is on the question whether directors need additional protection if large sums are being directed towards investments to minimize GHG emissions.
